What's included in the subscription
Our subscription gives you access to a dedicated legal counsel and covers all legal matters arising from your daily business operations.
For SMEs
- Contracts: Drafting and negotiating commercial agreements with customers, suppliers, and partners (e.g., GTCs, terms of use, service agreements, distribution contracts), support with contract management
- Strategy: Advice on strategic business decisions
- Corporate Secretary: Preparing and supporting general meetings and board meetings, handling commercial register changes (e.g., appointing new board members or managing directors), assisting with share transfers, maintaining the share register
- Data protection: Advising on data privacy matters, drafting or updating privacy policies and DPAs, creating internal guidelines and conducting training sessions
- HR: Support with employment law issues, drafting regulations, guidelines, employment contracts, and terminations
- IP: Drafting IP agreements (e.g., software license agreements), trademark registrations in Switzerland and internationally, developing IP strategies
- Regulatory representation: Liaising with authorities (excluding court representation in legal disputes)
For startups & scale-ups
- All services for SMEs: Startups and scale-ups benefit from the same services as SMEs, with additional support for:
- Employee participation: Drafting and managing employee participation plans (ESOP, PSOP, EPP)
- SHA: Adjustments to shareholders’ agreements (SHA)
- Investoren: Addressing investor-related legal matters
What's not included: Project-based legal services such as:
- Transactions like financing rounds, M&A projects and corporate restructurings
- Data protection projects such as data protection impact assessments (DPIAs)
- Legal disputes (representation in front of authorities or courts)
- Third-party services provided by external partners (e.g., accounting, tax, audit or IP specialists)
Subscription details
Our Legal Counsel as a Service model is simple and transparent. Here's what you need to know:
- Dedicated legal counsel: A single point of contact is assigned to you, supported by the full Code Law team and network in the background.
- Fixed monthly fee: At the start, a monthly flat rate is agreed upon, corresponding to a specific workload (e.g., 30% / 48 hours). The flat rate is based on a reduced hourly fee — the higher the workload, the lower the hourly fee. Invoices are issued monthly in arrears. A quarterly reconciliation takes place: If fewer hours have been used than agreed, the difference is refunded; if more hours have been worked, the additional time is billed at the reduced hourly rate. If the agreed workload proves to be too high or too low, it can be adjusted at the end of each calendar month.
- Weekly calls: Regular calls between your company and the legal counsel to discuss current tasks, define priorities, and agree on the next steps. The frequency of these calls is flexible and tailored to your needs.
- Cancellation: The subscription can be terminated flexibly at the end of each calendar month.
